VIP AFFILIATE PARTNER TERMS & CONDITIONS
Our VIP Affiliate Partnership program is intended to financially compensate the registered VIP Affiliate Partners whenever known referrals have been made to Whatbox Digital, LLC, and business has been successfully won, and income received.
PAYOUT STRUCTURE
Whatbox Digital, LLC will typically make one-time and/or multiple payment payouts within 4 – 6 weeks from the time income is received from a client that was referred by a registered VIP Affiliate Partner and/or any potential informally agreed to referral partners. However, Whatbox Digital, LLC reserves the right to modify payout timelines as deemed necessary. VIP Affiliate Partners are compensated only for new and first-time customer revenue referred. Any additional products or service upgrades that Whatbox Digital, LLC sells to a client beyond their initial engagement would not be subject to payouts to VIP Affiliate Partners. One-time consultations sold to a client that was referred to by a VIP Affiliate partner will result in a single one-time payout to the referring VIP Affiliate Partner, not to exceed the specific amount designated in this terms and conditions agreement. New clients that signup for our Fractional CMO program will result in multiple payouts to the referring VIP Affiliate Partner, not to exceed the specific amount designated in this terms and services agreement. Any services not included in this terms and conditions agreement are not subject to VIP Affiliate Partner payouts.

Website Wireframe & Funnel Consultation – Up to $450 1-time payout
Clarify Your Message Consultation – Up to $450 1-time payout
Fractional CMO STARTER Package – Up to $3,000 in multiple payments, subject to the terms of this agreement & duration of client engagement
Fractional CMO PREMIUM Package – Up to $6,000 in multiple payments, subject to the terms of this agreement & duration of client engagement
Fractional CMO ELITE Package – Up to $9,600 in multiple payments, subject to the terms of this agreement & duration of client engagement
ACCEPTABLE PAYMENT CHANNELS
Whatbox Digital, LLC currently does payouts via PayPal or Zelle. (Zelle works with most major banking institutions.) VIP Affiliate Partners are responsible for providing their banking payout credentials in order to receive payment(s).
SOFTWARE & TECHNOLOGY DISCLAIMER
While Whatbox Digital, LLC is strives to choose known reputable technology partners, Whatbox Digital, LLC cannot be held liable to our VIP Affiliate Partners and/or responsible for any technology failure incurred from third-party tools used to track referrals and/or used for any purpose to operate as a business.
TAX LIABILITY
Whatbox Digital, LLC will issue 1099’s to all VIP Affiliate Partners that have received income payouts throughout the course of the previous tax year. It is the responsibility of each VIP Affiliate Partner to submit this 1099 and report all income to the IRS for the sake of accountability and tax liability purposes.
CHANGES, MODIFICATIONS & SUSPENSIONS
Whatbox Digital, LLC reserved the rights to change, modify, and/or alter the terms of this and any agreement with our VIP Affiliate Partners without any advanced notice. Furthermore, Whatbox Digital, LLC reserves the right to suspend this program without any advanced notice.
CLIENT CANCELLATIONS OR FAILURES TO PAY
Should a client that was referred to Whatbox Digital, LLC by a registered VIP Affiliate Partner and/or any potential informally agreed to referral partners, cancel or suspend their service(s) for any reason, then any and all affiliate fees normally due to be paid out to the referrer or VIP Affiliate Partner would also be cancelled.
LEGAL CLAIM
Should a valid legal claim be made to Whatbox Digital, LLC as an entity and/or any revenue generated by Whatbox Digital, LLC, then Whatbox Digital, LLC would no longer be liable for any unpaid payments to our VIP Affiliate Partners.
AFFILIATE DISCLOSURE DISCLOSURE
WhatBox Digital, LLC is a paid affiliate for many of the software tools and service providers we recommend, which allows WhatBox Digital, LLC to be compensated for the new business income procured for the software and service providers.
CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT
All information about Whatbox Digital, LLC that is shared with you and/or any of our VIP Affiliate Partners is considered to be legally confidential and proprietary information. You, the VIP Affiliate Partner, your heirs, legal representatives, employees, successor, assigns, and affiliates agree to not disclose any of the insights, strategies, tactics, assets, information, and/or recommendations with any other business friend, competitor, person, or entity.
LEGAL JURISDICTION & ARBITRATION TERMS
You, the VIP Affiliate Partner and your designees, agree to hold Whatbox Digital, LLC harmless from any legal action or consequential damages which might arise from your participation in this program. Our liability for errors or omissions in this agreement is limited to the good faith efforts to make-right any such error or omission (only as defined and agreed to these terms and conditions) in the facilitation of the VIP Affiliate Partner program that Whatbox Digital, LLC offers to our VIP Affiliate Partners.
AMENDMENT: This agreement may only be amended or modified by an instrument in writing if agreed to and executed by both Whatbox Digital, LLC and you, the client.
BENEFITS: This agreement shall inure to the benefit of, and be binding upon the parties, including Whatbox Digital, LLC and you, the VIP Affiliate Partner, your heirs, legal representatives, successors and assigns.
GOVERNING LAW: The laws of the state of Texas shall govern this agreement, the construction of its terms, and the interpretation of the rights and duties of the parties.
ARBITRATION: If a dispute arises out of (or relates to) this agreement or the breach thereof, then both parties (Whatbox Digital, LLC and you, the VIP Affiliate Partner) agree to submit the said dispute to binding arbitration held in Montgomery County, Texas (or) Harris County, Texas, and be administered by the American Arbitration Association (AAA), in accordance with its guidelines and rules. Whatbox Digital, LLC and you, the client, further agree that any judgment or award by said arbitrators may be entered in any court having jurisdiction thereof. Furthermore, should you, the VIP Affiliate Partner, require legal arbitration, and your claim towards Whatbox Digital, LLC is dismissed or ruled in our favor, then you, the VIP Affiliate Partner agree to pay all attorney fees, court costs, and all expenses incurred by Whatbox Digital, LLC as a result of this action.
